These terms apply to the SolPros Service operated by Solle Prosequi, LLC.

1. Acceptance of These Terms

These terms and conditions govern your access to and use of the SolPros application, website, and related services (collectively, the "Service") provided by Solle Prosequi, LLC ("SolPros," "we," "us," or "our"). By creating an account, clicking to accept these Terms and Conditions, or using the Service, you agree to be bound by these terms.

If you use the Service on behalf of a law office, prosecutor, municipality, governmental entity, or other organization, you represent that you have authority to bind that organization to these terms.

2. Eligibility and Accounts

You must provide accurate registration information and keep your login credentials confidential. You are responsible for all activity that occurs under your account.

You must promptly update your account information if it changes and immediately notify SolPros of any suspected unauthorized use of your account.

3. Permitted Use

You may use the Service only for lawful internal business or governmental purposes connected to your legal, administrative, or case-management workflows.

You may not use the Service to violate law, infringe rights, interfere with the Service, attempt unauthorized access, reverse engineer restricted portions of the Service, or upload malicious code.

4. No Legal Advice; Legal Data Disclaimer

The Service may display legal reference content, workflow suggestions, templates, sentencing ranges, minimum or maximum fines, jail or prison exposure, deadlines, offense data, or similar legal information. All such information is provided solely for general informational and administrative convenience.

Legal data made available by Solle Prosequi, LLC is not legal advice, does not create an attorney-client relationship, and is not a substitute for your independent legal research, professional judgment, statutory review, rule review, or case-specific analysis.

You are solely and entirely responsible for confirming the accuracy, completeness, currentness, and applicability of all legal data before relying on it, using it in court, preparing filings, making charging or plea decisions, communicating with opposing parties, or advising any person or entity.

You assume all risk arising from reliance on legal data supplied through the Service. Solle Prosequi, LLC is not responsible for inaccuracies in legal data or for any negative consequences, losses, penalties, sanctions, dismissed cases, unlawful outcomes, missed deadlines, incorrect fine or incarceration ranges, or other harm resulting from inaccurate, incomplete, or outdated information.

5. Your Content and Responsibilities

You are responsible for all documents, docket data, case details, contact information, notes, templates, and other content that you upload, import, generate, store, or transmit through the Service.

You represent that you have all rights and permissions necessary to use that content with the Service and that your use of the Service complies with your professional duties, confidentiality obligations, retention requirements, and all applicable laws, court rules, and internal policies.

6. Service Availability and Changes

We may modify, suspend, or discontinue any feature of the Service at any time, with or without notice. We do not guarantee that the Service will be uninterrupted, secure, or error-free.

We may release updates, bug fixes, or changes to improve the Service or address legal, operational, or security issues.

7. Intellectual Property

The Service, including its software, design, branding, text, graphics, and non-user-generated content, is owned by or licensed to SolPros and is protected by applicable intellectual property laws.

Except for the limited right to use the Service under these terms, no rights are granted to you by implication, estoppel, or otherwise.

8. Third-Party Services

The Service may interoperate with third-party services, software, hosting providers, or communication tools. Your use of those third-party services may also be governed by their own terms and privacy practices.

SolPros is not responsible for third-party services or for outages, errors, or losses caused by third-party systems.

9. Disclaimer of Warranties

To the fullest extent permitted by law, the Service is provided "as is" and "as available" without warranties of any kind, whether express, implied, or statutory.

We disclaim all implied warranties, including warranties of merchantability, fitness for a particular purpose, title, non-infringement, accuracy, and quiet enjoyment.

10. Limitation of Liability

To the fullest extent permitted by law, Solle Prosequi, LLC and its owners, officers, employees, contractors, and affiliates will not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for any loss of profits, revenue, data, goodwill, business opportunity, or legal position arising out of or related to the Service.

To the fullest extent permitted by law, the total liability of Solle Prosequi, LLC for all claims arising out of or related to the Service will not exceed the amount you paid to SolPros for the Service during the twelve months before the event giving rise to the claim, or one hundred U.S. dollars ($100) if you have not paid any fees.

11. Indemnification

You agree to defend, indemnify, and hold harmless SolPros and its affiliates, personnel, and representatives from and against claims, liabilities, damages, judgments, losses, and expenses, including reasonable attorneys' fees, arising out of or related to your use of the Service, your content, your violation of these terms, or your violation of applicable law or the rights of another person or entity.

12. Suspension and Termination

We may suspend or terminate your access to the Service at any time if we believe you have violated these terms, created risk for the Service or others, or if continued access is no longer commercially or operationally feasible.

Upon termination, provisions that by their nature should survive termination will survive, including provisions regarding ownership, disclaimers, limitations of liability, indemnification, and dispute-related provisions.

13. Governing Law and Disputes

Unless a separate written agreement states otherwise, these terms are governed by the laws applicable in the jurisdiction where Solle Prosequi, LLC is organized, without regard to conflict-of-law rules, except to the extent superseded by applicable law.

Any dispute arising out of or relating to these terms or the Service must be brought in a court of competent jurisdiction unless the parties agree to another process in writing.

14. Changes to These Terms

We may update these terms from time to time. Updated terms will become effective when posted unless a later effective date is stated. Your continued use of the Service after updated terms become effective constitutes acceptance of the revised terms.
